Payment and Billing

Service Fees: All fees for services rendered must be paid according to the terms specified in your project proposal, contract, or invoice.
Payment Schedule: Unless otherwise agreed in writing, payment is due within 30 days of invoice date. For ongoing services, monthly invoicing may apply.
Late Payment Consequences: Overdue payments will incur interest charges of 1.5% per month (or the maximum rate permitted by law, whichever is lower). Easy Site Coders completely reserves the right to terminate or suspend services for accounts that fail to pay outstanding balance.
Tax Responsibility: Clients are responsible for all applicable sales tax, GST, VAT, or other government-imposed taxes, except taxes based on Easy Site Coders' net income.
Refund Policy: Fees paid for services are generally non-refundable once work has commenced, unless explicitly stated otherwise in your written agreement.
Disputed Charges: If you believe an invoice contains errors, please contact us within 10 days of receipt to resolve the matter.

Intellectual Property Rights

Our Property: All content on our website, including text, graphics, logos, software, and design elements, is owned by Easy Site Coders and protected by copyright and trademark laws. Unauthorized use is strictly prohibited.
Project Deliverables: Upon receipt of full payment, you get a license key for using deliverables Easy Site Coders builds for you. However, Easy Site Coders retains ownership of any pre-existing intellectual property, proprietary tools, frameworks, or methodologies used during development.
Your Materials: You retain ownership of any intellectual property you provide to us. We will use your materials solely for the purpose of delivering the agreed-upon services.
Third-Party Components: Projects may incorporate third-party libraries, frameworks, or tools subject to their respective licenses. We will inform you of significant third-party components where applicable.
Confidentiality: Both parties agree to maintain confidentiality of proprietary information shared during the course of our business relationship.

Warranties and Liability Limitations

Service Warranty: We strive to deliver high-quality services but cannot guarantee that our services will be error-free, uninterrupted, or meet all specific requirements not explicitly documented in your agreement.
No Consequential Damages: Easy Site Coders shall not be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, revenue, data, or business opportunities.
Services "As Is": We deliver our services in their current state and availability without providing any guarantees, whether stated directly or understood implicitly. This includes any assurances regarding quality, suitability for specific uses, or commercial viability.
Liability Cap: Our total liability for any claims arising from services rendered shall not exceed the total fees you paid for the specific service giving rise to the claim, or INR 25,000, whichever is greater.
Force Majeure: We are not responsible for delays or failures in performance resulting from circumstances beyond our reasonable control, including natural disasters, pandemics, government actions, or third-party service failures.

Service Termination

Termination by Client: You have the option to end services in accordance with the provisions outlined in your contract. However, you must fulfill payment obligations for all completed work and services rendered prior to the date of termination.
Termination by Easy Site Coders: We reserve the right to suspend or terminate services immediately if you violate these Terms, fail to make required payments, or engage in activities that could harm our business or other clients.
Effects of Termination: Upon termination, all outstanding fees become immediately due and payable. Your license to use our deliverables terminates unless otherwise specified. We may delete or archive your data according to our retention policies.
Survival Clauses: Provisions regarding payment obligations, intellectual property rights, confidentiality, and liability limitations shall survive termination of services.

Applicable Law and Jurisdiction

These Terms and Conditions, and any disputes arising from or related to them, shall be governed by and construed in accordance with the laws of India. Any legal proceedings shall be subject to the exclusive jurisdiction of the courts located in Bathinda, Punjab, India.
